CU Anschutz Agreements Portal for MTAs, CDAs, Certificates of Confidentiality, and dB Gap Agreements

This portal is specifically for agreements associated with non-monetary research collaborations, transfer of materials and data, confidentiality protections, and NIH Certificates.

Section 1

1.1 Please pick one answer below that best describes the scope of work you will be completing with the other entity:*

This question focuses on the scope of work you will be performing. Regardless of what an agreement is called, it is the scope of work and details of the parties’ relationship that will determine appropriate departmental routing; faster triage will reduce delays in institutional review and approval.

For example, many agreements are labeled as a Material Transfer Agreement (MTA) and thus routed internally as an MTA, but must be re-routed to another department or re-negotiated as a research collaboration agreement upon CU AMC determination that the investigator will be collaborating on publication and analysis and would like some of the details of this relationship detailed in the contract.

Section 3: Material Transfer Questions

3.1 Please select the type of material that will be exchanged:*
3.2 CU Anschutz is ___________ the material.*

In the rare event that materials are being sent and received contemporaneously, in the absence of a collaboration, CU AMC’s preference is to try to combine terms of both transfers under 1 agreement. Sometimes, we are not able to do this so 1 agreement to cover each transfer may be necessary (2 agreements total).

3a.1 Will CU Anschutz be paying any fees for the shipping, handling, or preparation of the material or data?*
$
3a.2 Are there or will there be any other agreements associated with this scope of work?*

CU AMC asks this question to make sure there are no restrictions or conflicting terms between the agreements that could affect your research. To expedite processing of the contract, please attach any other agreements below or reference with as much specificity as possible in the comments section. This will allow CU AMC to obtain permission, if necessary and possible, for combined use of materials you have already obtained with the research material that will be transferred under the present agreement – e.g. vector from one entity, expression cell line from another; crossing mice you obtain under this MTA with mice obtained previously from another entity.

(i.e. previous or future MTAs, grants, clinical trial agreements, sponsored research agreements, subawards, CDA/NDA, etc.)
(i.e. reagent, antibody, KO mouse, etc)
3a.5 Please provide the IACUC protocol number under which this material will be collected.*
3a.6 Are you able to obtain the material or data from another source?*

Is it possible to obtain this material under a purchase order, from a repository, or any other source?

3a.7 Has the material or data been described in publication?*
3a.8 Will you receive or provide any information about the material or data that should be considered confidential?*
3a.9 Will the anticipated discoveries or new materials you make in the course of the project using the requested material or data have clinical or commercial applicability now or in the future?*
3a.10 Do you have or will you pursue a patent or license for the scope of work related to the material or data?*
3a.11 Will you create derivatives or make modifications to the material?*

CU AMC will verify that the terms of the contract allow the scope of work to move forward.

(e.g. subcloning plasmids, transfecting cell lines, crossing animals, chemically modifying material etc.)
3a.12 Please provide the IRB protocol number under which this material will be used.*
3a.12 Please provide the IBC protocol number for this material.*
3a.13 Please check all HIPAA identifiers that will be disclosed or check NA if none will be disclosed:*

3b.1 Will you charge the receiving party any fees for the shipping, handling, or preparation of the material or data?*
$
(i.e. reagent, antibody, KO mouse, etc)
3b.4 Do you wish to limit the receiving party’s use of the material or data strictly to the scope of work (versus allowing the receiving party to use the material or data for general academic research)?*

Many templates allow for any academic, non-commercial work to be performed with the material. CU AMC recommends limiting the agreement to the scope of work when there could be CU intellectual property rights now or in the future.

3b.5 Did any other research lab (at CU, another academic institution, or a company) provide essential components or otherwise collaborate with you in making the material or obtaining the data?*

CU AMC asks this question so the other agreement(s) can be pulled to make sure you have permission from any other entities involved with the material to transfer the material. We also want to make sure there are no other conflicting terms between the agreements. To expedite processing of the contract, please attach any other agreements below.

Example: You have created a knock-out mouse that contains material from a mouse you received from ABC University. XYZ University would like to obtain the knock-out mouse from you. In looking at the MTA with ABC University, CU AMC realizes that permission must be obtained from ABC prior to sending the knock-out mouse as the knockout mouse contains a portion of the original material from ABC. Furthermore, ABC has requested that a paper be cited when their material is used. CU AMC obtains permission from ABC to send the knock-out mouse and incorporates the necessary citation in the new MTA with XYZ University.

(e.g. clone portions of a plasmid, supply antigen against which you raised Abs, provide a cell line, etc.)
Is there any form of written or oral agreement (Material Transfer Agreement, letter of intent, subaward, etc.) between you and the providers/collaborators referenced in the question above?*
3b.6 Is the receiving party able to obtain the material or data from another source?

This information helps CU AMC to effectively negotiate the agreement on your behalf.

3b.7 Has the material or data been described in a publication?*
3b.8 Do you plan to publish the material?*
3b.9 Is the material, data, or scope of work the subject of or described in an invention disclosure, or a patent application that has been filed by CU or is pending filing by CU?*
3b.10 Is the material licensed to any third party or the subject of licensing negotiations?*
3b.11 Please provide the IRB protocol number under which this material will be used.*
3b.11 Please provide the IBC protocol number for this material.*
3b.12 Please check all HIPAA identifiers that will be disclosed or check NA if none will be disclosed:*

4.1 Will human data be exchanged as part of this confidential information?
4.2 Please check all HIPAA identifiers that will be disclosed or check NA if none will be disclosed:
4.3 Who will be disclosing confidential information?*

Many agreements only offer confidentiality protections to flow from 1 party to the other. This question allows us to make sure that the appropriate protections are in place for information flowing one or both ways.

4.3 Since you plan on disclosing confidential information to the other party, will you contractually agree to mark or label written confidential information as confidential?

A marking requirement can be burdensome on the provider of CI. Before CRAO negotiates this language, we want to know if you are ok with this additional work.

4.4 Will you need to disclose the other party's information to CHCO?

A marking requirement can be burdensome on the provider of CI. Before CRAO negotiates this language, we want to know if you are ok with this additional work.

4.4 Since you plan on disclosing confidential information to the other party, will you contractually agree to reduce to writing and mark as confidential any confidential information disclosed verbally to the other party?*

A marking requirement can be burdensome on the provider of CI. Before CRAO negotiates this language, we want to know if you are ok with this additional work.

(Examples include the name of a clinical trial, the name of a product, a brief description of the type of research, etc)
